The management and control rule
A Cyprus company is only a Cyprus tax resident if it is managed and controlled from Cyprus. This is not a technicality and it is the part that decides whether the whole structure works.
It means board meetings and strategic decisions happen in Cyprus, directors are genuinely based here, and the company has real substance including local banking and accounts maintained in Cyprus.
The shell company problem
A Cyprus company where the sole director lives abroad and makes all decisions from there is a tax resident of wherever that director is, not Cyprus. This is the most common structural mistake and it can result in significant back tax liability in the owner's home country.
Combining the company with non-dom status
Owning or working for a Cyprus company satisfies the connection requirement for Cyprus tax residency. Once you qualify as a Cyprus tax resident you can claim non-dom status, which gives 0% on dividends and interest for up to 17 years.
A modest salary from your Cyprus company establishes the employment connection. Profits above that, extracted as dividends, fall under the non-dom exemption. The detail is on the tax residency and non-dom page.
The formation process, step by step
Forming a Cyprus company is faster than most people expect and can be completed remotely. Getting each step right from the start avoids delays and compliance problems later.
- Name approvalCleared with the Cyprus Registrar of Companies before anything else can proceed.
- Constitutional documentsDrafted and filed once the name is approved.
- Registration and incorporationThe company is registered and a Certificate of Incorporation is issued.
- Tax registrationRegistration with the Cyprus Tax Department and assignment of a Tax Identification Number. VAT registration is required once turnover exceeds the threshold set by Cyprus law. A licensed company secretary must be appointed, as required under Cyprus company law.
- Bank account openingTypically the longest step. Cyprus banks carry out thorough due diligence on new corporate accounts, and you will need passport copies, proof of address, source of funds documentation and a description of business activities. Fintech providers work as an alternative or a supplement for day to day transactions.
Each step requires correctly certified identity and address documents. If you are not physically in Cyprus, documents are certified by a notary or apostilled remotely, and your formation agent handles the filings on your behalf.
Annual compliance, which people underestimate
Cyprus companies must prepare audited annual accounts, file an annual return with the Registrar, and file a corporate tax return with the Tax Department each year. A local accountant is required to manage this.
Failing to file results in fines and potential strike off. This is an ongoing obligation, not a one off at formation, and it is the part that catches people who set a company up cheaply and then leave it unattended.
